The module is assessed on the basis of a 3000 word (+/- 10%) essay on one of the following questions:
1. Discuss the development of codes of corporate governance. What role do codes of corporate governance play in ensuring governance that avoids some of the problems associated with recent scandals of corporate governance? Answer with reference to either the UK context or to another national or international context. Discuss how the context you have chosen has shaped codes of corporate governance.
2. Provide a critical assessment of the importance of stakeholder involvement in contemporary corporate governance? Why is stakeholder involvement considered important for corporate governance? How might the interests of different stakeholders conflict with one another?
3. Critically discuss how either (a) a cybernetics approach or (b) a cooperative approach differs from the standard, mainstream approach to corporate governance. How do the approaches differ in terms of the form of decision-making processes and the inclusion of workers and others in those processes? Find one example of mainstream and one of alternative forms of governance to support your discussion.

3) quality of thoughtful engagement with the literature and debates discussed in the essay; ability to reflect, fairly consider, propose and express ideas.
4) ability to apply successfully the Harvard Author-Date referencing system and the style guidelines of the assessment.
